The Mergers and Acquisitions (M&A)<\/strong> market in Brazil in 2025<\/strong> presents a scenario of contrasts. In the first quarter, there was a 3% drop in transaction volume<\/strong> and a 24% decline in capital mobilized<\/strong> (Aon\/TTR Data). However, a shift is expected in the second half of the year<\/strong>, with sectors such as renewable energy, agribusiness, and infrastructure<\/strong> emerging as strategic bets for investors.<\/p>

Current Landscape: Lower Volumes, Greater Asian Presence<\/h3>

As usual, Brazil led the number of M&A deals in Latin America<\/strong> during the first quarter, maintaining its position as the region\u2019s largest economy. However, this year\u2019s leadership came with smaller transaction values<\/strong>. Foreign investors<\/strong>, responsible for 85% of the total capital moved in 2025<\/strong> (Seneca Evercore), are seeking opportunities with unique competitive advantages<\/strong>, such as logistics (ports, railways)<\/strong> and renewable energy<\/strong>.<\/p>

It\u2019s not just foreign investors standing out \u2014 it\u2019s East Asian investors<\/strong> in particular. Notable examples include the US$ 1.7 billion acquisition of Vast Infraestrutura (Prumo) by China Merchants Port (CMP)<\/strong> and the entry of Singapore\u2019s sovereign wealth fund (GIC)<\/strong> into Cimed<\/strong>.<\/p>

Second-Half Trends: Infrastructure & Agribusiness<\/h3>

Transmission and generation auctions<\/strong> could inject up to R$ 57 billion<\/strong> into the energy sector (EPE), with participation from major players such as Eletrobras, Eneva, and CPFL<\/strong>. Similarly, the solar photovoltaic segment<\/strong> recorded a 25% increase in transactions<\/strong> in Q1 (Greener), driven by large-scale plants and energy storage solutions<\/strong>.<\/p>

In agribusiness<\/strong>, moves such as Bunge\u2019s investment in Belagr\u00edcola<\/strong> and JBS\u2019s acquisition of Mantiqueira<\/strong> (valued at R$ 1.9 billion<\/strong>) reflect the pursuit of scale and innovation<\/strong>. Biotech and agri-fintech startups<\/strong> are expected to attract capital, despite high financing costs<\/strong>.<\/p>

It\u2019s also worth noting that private equity (PE) funds<\/strong> are overloaded<\/strong> \u2014 49% of companies globally have been held since 2020<\/strong> (PwC). The same applies in Brazil, where more divestments of mature assets<\/strong>, particularly in healthcare and education<\/strong>, are expected.<\/p>

Two Sides of the Coin \u2013 Challenges and Opportunities<\/h3>

A high Selic rate (14.25%)<\/strong> raises credit costs and widens the valuation gap between buyers and sellers<\/strong>. Geopolitical uncertainties<\/strong>, such as protectionist measures and upcoming elections<\/strong>, could delay decisions. Postponements of auctions and concessions<\/strong>, such as the 2024 Capacity Reserve Auction<\/strong>, highlight the need for legal certainty<\/strong>.<\/p>

On the other hand, Brazilian agribusiness<\/strong> continues to show strong global potential. The U.S.\u2013China trade war<\/strong> has opened new opportunities for Brazil to expand meat and grain exports<\/strong>. Japan<\/strong>, for instance, is negotiating to buy Brazilian beef<\/strong>, and China<\/strong> has increased its soy imports<\/strong> from Brazil. These developments could trigger new M&A movements<\/strong> in Brazil, particularly involving companies from the main export destination countries<\/strong>.<\/p>
